1. Acceptance of Terms

By accessing and using the website and services of Arventis Group Limited ("Company," "we," "us," "our," or "Arventis"), you agree to be bound by these Terms of Service. These terms are governed primarily by the laws of the Republic of Ghana, including the Business Names Act, 1962 (NRCD 28), the Contract Act, and other applicable Ghanaian commercial laws, while also respecting applicable laws in other jurisdictions where we conduct operations. If you do not agree to these terms, please do not use our services.

2. Service Description

Arventis Group Limited provides international logistics and haulage services across multiple countries and regions, including:

  • Road freight and haulage services (Ghana, West Africa, Europe, and beyond)
  • Sea freight and container services (international routes)
  • Air freight and cargo services (global)
  • Customs brokerage and documentation services
  • Warehousing and storage facilities
  • Supply chain management solutions

3. Contractual Relationship

When you request a shipping or logistics service:

  • You enter into a separate service contract governed by these Terms and our Service Agreement
  • We provide a quotation, which you accept by payment or written confirmation
  • All shipments must comply with Ghanaian customs laws, international shipping regulations, and regulations in relevant transit and destination countries
  • Customers are responsible for accurate and complete documentation

4. Booking and Quotation

Quotations: All quotations provided by Arventis are estimates and may be subject to change based on market conditions, fuel surcharges, regulatory changes in Ghana and other transit countries, and currency fluctuations.

Booking: Shipments are confirmed upon receipt of:

  • Completed booking form with accurate commodity information
  • Required documentation (commercial invoice, packing list, bill of lading, export permits)
  • Deposit or full payment as per our payment terms
  • Insurance documentation if required

5. Payment Terms

Payment is due according to the following schedule:

  • 50% deposit upon booking confirmation
  • Balance due upon shipment departure
  • Additional charges (customs, documentation, handling, taxes) are invoiced separately
  • Late payments may incur interest at applicable rates or as per local banking guidelines
  • All invoices must be paid within 30 days of issue

We accept international wire transfers, online payments, cryptocurrency, and other arrangements as negotiated. Payment may be made in GHS (Ghana Cedis), EUR (Euro), USD, or other currencies as agreed.

6. Prohibited and Restricted Commodities

The following are strictly prohibited and will not be transported:

  • Illegal substances and controlled narcotics under any jurisdiction
  • Firearms, ammunition, and weapons without proper authorization
  • Explosives and hazardous materials (unless properly licensed and documented)
  • Counterfeit and stolen goods
  • Human remains without proper authorization
  • Endangered species and illegal wildlife products (CITES violations)
  • Items in violation of Ghanaian, international, or destination country laws
  • Materials subject to international sanctions

Customers must declare all commodities accurately. False declarations will result in immediate contract termination, forfeiture of all payments, and referral to relevant authorities.

7. Documentation and Customs Compliance

Customers are responsible for:

  • Providing accurate commercial invoices and packing lists
  • Obtaining necessary export/import permits from relevant authorities (Ghana Revenue Authority, local customs)
  • Providing certificates of origin and compliance documents as required
  • Ensuring compliance with destination country and transit country regulations
  • Bearing costs of corrected documentation due to customer errors

Arventis can provide customs brokerage and documentation services at additional cost. We reserve the right to hold shipments if documentation is incomplete or non-compliant with applicable customs requirements.

8. Liability and Limitation of Liability

Limitation: Our liability for loss, damage, or delay to shipments is limited to:

  • The freight charge paid for the specific shipment
  • Or the declared value of the goods (up to USD 100 per kg), whichever is lower
  • Unless higher value is declared and additional insurance premium is paid

Excluded Liability: We are not responsible for:

  • Delays caused by circumstances beyond our control (weather, strikes, pandemics, natural disasters)
  • Damage due to inadequate packaging by the shipper
  • Loss or damage from force majeure events
  • Delays in customs clearance, inspections, or regulatory approvals
  • Indirect, incidental, or consequential damages
  • Political or security events in transit or destination countries

9. Insurance

Insurance is not automatically included. Customers must:

  • Request insurance coverage and pay the applicable premium (typically 0.5-1.5% of declared value)
  • Provide accurate declared value for high-value shipments
  • Submit claims within 30 days of delivery with supporting documentation

Insurance policies comply with applicable regulations in relevant jurisdictions and are issued by licensed insurance providers.

10. Delivery and Release

Delivery Address: Delivery is to the address provided at booking. Changes must be requested in writing before shipment departure.

Release Terms: Shipments are released only upon:

  • Full payment of all charges
  • Customs clearance completion
  • Receipt of original bills of lading or original shipping documents
  • Presentation of valid identification or authorization

11. Force Majeure

Arventis shall not be liable for delays or failures resulting from force majeure events, including natural disasters, war, terrorism, pandemics, strikes, government actions, sanctions, or other events beyond reasonable control in Ghana or any transit country. In such circumstances, we will notify customers promptly and work to mitigate impact.

12. Compliance with Laws

Both parties must comply with applicable laws including:

  • Customs Act, 2015 (NRCD 893) of Ghana
  • Ghana Revenue Authority (GRA) regulations
  • Environmental Protection Agency (EPA) guidelines
  • Transport Regulations and Road Traffic Act
  • International maritime, aviation, and transportation regulations
  • Anti-money laundering (AML) and Know Your Customer (KYC) regulations
  • International sanctions and export control laws
  • Health, safety, and environmental protocols in relevant jurisdictions

13. Anti-Corruption and Bribery

Both Arventis and our customers commit to complying with anti-corruption laws, including Ghana's Public Office Holders (Declaration of Assets) Act, 1998, and international anti-bribery standards. We do not engage in or tolerate corruption, and any such conduct will result in immediate termination and legal action.

14. Dispute Resolution

Any disputes shall be resolved as follows:

  • First attempt: Good faith negotiation between parties
  • Second attempt: Mediation through relevant industry bodies or chambers of commerce
  • Final recourse: Arbitration or litigation in Ghana courts or courts of competent jurisdiction

All claims must be filed within 12 months of the incident date, as per applicable law.

15. Intellectual Property

All content on our website, including logos, trademarks, text, graphics, and designs, are the property of Arventis Group Limited and protected under intellectual property laws. Unauthorized use, reproduction, or modification is prohibited.

16. Website Terms of Use

By accessing our website, you agree to:

  • Not engage in unlawful or fraudulent activities
  • Not transmit malware, viruses, or harmful code
  • Respect intellectual property rights
  • Not attempt to breach our security systems
  • Not use automated bots or scraping tools without permission

17. Termination

Arventis reserves the right to terminate services or refuse shipments if customers violate these terms, provide false information, engage in illegal activities, or fail to pay invoices. Termination does not relieve customers of payment obligations.

18. Changes to Terms

We may update these Terms of Service periodically. Changes will be posted on our website and are effective immediately. Continued use of our services constitutes acceptance of updated terms.

20. Severability

If any provision of these Terms is found to be invalid under applicable law, such provision shall be severed, and the remaining terms shall continue in effect.
